At Behest Inc., doing business as Behest AI ("Behest AI," "Company," "we," "us," or "our"), a corporation incorporated under the laws of the State of Delaware and registered to do business in the State of California, we are steadfast in our conviction that Private AI is the only AI for enterprises. As pioneers in self-hosted, enterprise-grade AI solutions, we empower organizations to harness the transformative power of AI with uncompromising privacy, security, and control. These Terms of Service ("Terms") govern your access to and use of our Services, including our Website (behest.ai), self-hosted AI platform, agents, frameworks, and any related products, features, tools, or interactions (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you may not use the Services. These Terms are supplemented by any executed Master Services Agreement ("MSA") or Enterprise Agreement, which shall prevail in case of conflict.

1. Definitions

For purposes of these Terms, the following terms shall have the meanings ascribed below, unless otherwise required by applicable law:

Services: Our Website, self-hosted AI platform, agents, frameworks, and any related products, features, tools, or interactions provided by Behest AI, designed exclusively for enterprise use with privacy at the core.
User Content: Any data, information, content, or materials you upload, submit, or transmit through the Services, including but not limited to enterprise data, prompts, queries, or outputs generated by our AI agents.
Private AI: Our proprietary self-hosted AI solutions that ensure your data remains isolated, secure, and under your exclusive control—because in the enterprise world, only Private AI delivers true innovation without compromise.
AI Outputs: Any results, insights, or content generated by the Services using your User Content.

2. Eligibility and Account Registration

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at info@behest.ai of any unauthorized use.

3. Description of Services

Behest AI provides self-hosted, enterprise-grade AI solutions tailored for business users, including:

AI Agents: Automate complex enterprise processes like claims processing, policy administration, and more, integrated seamlessly with tools such as Salesforce, SAP, HubSpot, and Google Workspace.
Framework for Business Users: A simple, LLM-agnostic, and agentic platform with built-in RAG (Retrieval-Augmented Generation) and RBAC (Role-Based Access Control) for secure, private deployments.
Private Tenant Deployment: All processing occurs in your secure network, ensuring no data leaves your control—embodying our belief that Private AI is the only path for enterprises to innovate without risk.

Our Services are designed for enterprise environments and are not intended for consumer use. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, subject to notice where required by an MSA.

4. License and Access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal enterprise business purposes only. This license does not include rights to:

Copy, modify, distribute, sell, or lease any part of the Services.
Reverse engineer, decompile, or disassemble the Services.
Use the Services for any unlawful purpose or in violation of applicable laws.

You retain all rights to your User Content, but by using the Services, you grant us a worldwide, royalty-free, non-exclusive license to process it solely to provide the Services (e.g., training agents within your private tenant). We do not use your User Content to train external models—your data stays sovereign.

5. User Obligations and Conduct

You agree to:

Comply with all applicable laws, regulations, and these Terms.
Use the Services only in your private, secure enterprise environment.
Ensure your User Content does not infringe third-party rights or contain harmful code.
Maintain backups of your User Content, as we are not responsible for data loss.
Install and maintain the Services in accordance with our documentation for optimal security.

As enterprises demand control, our Private AI ensures your obligations align with ironclad security—your data, your AI, your rules.

6. Prohibited Uses

You may not:

Use the Services for public or consumer-facing applications.
Attempt to access non-authorized areas or interfere with the Services (e.g., via viruses or denial-of-service attacks).
Share your account credentials or allow unauthorized access.
Upload illegal, harmful, or discriminatory content.

Violations may result in immediate suspension or termination. We reserve the right to investigate and report suspected illegal activity.

7. Intellectual Property Rights

Behest AI owns all rights, title, and interest in the Services, including all intellectual property (e.g., patents, trademarks, copyrights). Our USPTO-patented technologies, developed by Silicon Valley veterans, power the only Private AI worthy of enterprise trust. You own your User Content but acknowledge that outputs generated by our AI may incorporate licensed elements from the Services. Do not remove any proprietary notices.

8. AI Outputs and Ownership

You own all rights to AI Outputs generated solely from your User Content within your private tenant. We make no claim to such Outputs and ensure they are not used for any external training or processing. You represent that your inputs comply with ethical AI guidelines, and we disclaim liability for unintended biases in Outputs—enterprises must validate for their regulated environments.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other's non-public information disclosed in connection with the Services ("Confidential Information") and to use it only for permitted purposes. This obligation survives termination for three years. Exceptions include information required by law or already public through no fault of the recipient. In Private AI, your enterprise data is the ultimate Confidential Information—never shared, always shielded.

10. Data Protection and Security

We commit to processing User Content in compliance with applicable data protection laws (e.g., GDPR, CCPA, HIPAA) via our Privacy Policy and any Data Processing Addendum ("DPA"). As a self-hosted provider, you control the environment; we provide tools for encryption, access controls, and audits. You are responsible for configuring security features. Breaches will be handled per Section 11 of our Privacy Policy. Private AI isn't compliant by accident—it's engineered for zero-exposure sovereignty.

11. Fees and Payment

Our Services are provided under a straightforward subscription model:

Setup: One-time cost (contact sales@behest.ai for details).
Recurring: $19.95 per user per month; $995 per agent per month; $100K per year per LLM; $100K per year for RAG.
Average Customer Spend: $300K per year.
Enterprise Agreements: Custom pricing available—email sales@behest.ai.

Payments are non-refundable. Late payments accrue interest at 1.5% per month. We may update fees with 30 days' notice.

12. Support Services

We provide standard support via email (info@behest.ai) during business hours. Enterprise customers may negotiate SLAs in an MSA, targeting 99.9% uptime for private deployments. Response times: Critical issues within 4 hours; standard within 24 hours. Private AI support isn't reactive—it's proactive fortification for your mission-critical edge.

13. Warranties

We warrant that: (i) the Services will perform substantially as described; (ii) we will provide Services in a professional manner; and (iii) User Content will remain confidential per Section 9. These warranties are exclusive; no others are implied. Your sole remedy for breach is termination or refund of prepaid fees.

14. Termination

You may terminate your account at any time by contacting info@behest.ai. We may suspend or terminate access for violations, with or without notice. Upon termination, your license ends, and you must cease using the Services. We will facilitate export of your User Content within 30 days. Sections surviving termination include IP rights, confidentiality, data protection, disclaimers, and indemnification.

15. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties beyond Section 13. We disclaim all implied warranties of merchantability or fitness for a particular purpose.

To the fullest extent permitted by law, Behest AI's total liability shall not exceed fees paid in the prior 12 months. We are not liable for indirect, consequential, or punitive damages. Private AI minimizes risks, but enterprises must evaluate suitability for their needs.

16. Indemnification

You agree to indemnify and hold Behest AI harmless from claims arising from your User Content, misuse of the Services, or violations of these Terms. We will indemnify you against claims that the Services infringe third-party IP, subject to prompt notice and cooperation.

17. Export Controls and Compliance

You agree to comply with all applicable export control laws (e.g., U.S. EAR/ITAR). The Services may not be exported to embargoed countries or denied persons. We adhere to privacy regs like GDPR via DPA; you ensure your use complies with sector-specific rules (e.g., insurance data sovereignty).

18. Governing Law and Dispute Resolution

These Terms are governed by Delaware law. Any disputes shall be resolved through binding arbitration in Delaware under American Arbitration Association rules. You waive class actions.

19. Force Majeure

Neither party is liable for delays due to events beyond reasonable control (e.g., natural disasters, wars), excluding payment obligations.

20. Severability

If any provision is held invalid, the remainder remains in effect.

21. Waiver

No waiver of any breach is effective unless in writing.

22. Entire Agreement

These Terms, plus any MSA/DPA, constitute the full agreement, superseding prior understandings.

23. Changes to These Terms

We may update these Terms to reflect changes in our Services or law. Material changes will be posted on our Website with a revised "Last Updated" date. Continued use constitutes acceptance.
