Terms of Service

1. Definitions

• Services: Website, managed AI backend platform, API gateway, multi-provider routing, developer tools, and related products.
• User Content: Data, information, content, or materials uploaded through Services, including enterprise data, prompts, queries, and AI-generated outputs.
• AI Backend as a Service (BaaS): A managed platform providing multi-provider AI routing, tenant isolation, API key management, and observability through a unified API.
• AI Outputs: Results, insights, or content generated by Services using User Content.

2. Eligibility and Account Registration

You must be at least 18 years old or meet your jurisdiction's age of majority. Account creation may be required for certain features. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Report unauthorized use immediately to info@behest.ai.

3. Description of Services

Behest AI provides a managed AI backend-as-a-service platform including:

• Multi-Provider AI Routing: Route requests across AI providers (Anthropic, OpenAI, and others) through a single API endpoint with automatic failover and load balancing.
• API Key & Auth Management: Tenant and project creation, API key provisioning, JWT-based authentication, and JWKS endpoints for secure access control.
• Per-Project DNS & Isolation: Dedicated FQDNs per project with tenant-level isolation, rate limiting, and full observability via OpenTelemetry.

We reserve the right to modify, suspend, or discontinue any Service aspect at any time, subject to MSA-required notice.

4. License and Access

Subject to these Terms, a limited, non-exclusive, non-transferable, revocable license is granted for internal enterprise business purposes only. This license excludes rights to:

• Copy, modify, distribute, sell, or lease Service components
• Reverse engineer, decompile, or disassemble Services
• Use Services for unlawful purposes or in violation of applicable laws

You retain all rights to your User Content. By using Services, you grant us a worldwide, royalty-free, non-exclusive license to process content solely to provide Services, such as delivering AI routing and related backend services. User Content is not used for external model training — your data remains sovereign.

5. User Obligations and Conduct

You agree to:

• Comply with all applicable laws, regulations, and these Terms
• Use Services in accordance with applicable rate limits and fair-use policies
• Ensure User Content does not infringe third-party rights or contain harmful code
• Maintain User Content backups, as we bear no data loss responsibility
• Integrate with Services per documentation for correct API usage

6. Prohibited Uses

You may not:

• Resell or sublicense API access to third parties without authorization
• Attempt unauthorized area access or interfere with Services via viruses or denial-of-service attacks
• Share account credentials or permit unauthorized access
• Upload illegal, harmful, or discriminatory content

Violations may result in immediate suspension or termination. We reserve the right to investigate and report suspected illegal activity.

7. Intellectual Property Rights

Behest AI owns all rights, title, and interest in Services, including all intellectual property such as patents, trademarks, and copyrights. You own your User Content but acknowledge that AI-generated outputs may incorporate licensed Service elements. Proprietary notice removal is prohibited.

8. AI Outputs and Ownership

You own all rights to AI Outputs generated solely from your User Content within your private tenant. We make no claim to Outputs and ensure they are not used for external training or processing. You represent that inputs comply with ethical AI guidelines. We disclaim liability for unintended output biases — enterprises must validate for regulated environments.

9. Confidentiality

Both parties agree to maintain confidentiality of non-public information disclosed in connection with Services (“Confidential Information”), using it only for permitted purposes. This obligation survives termination for three years. Exceptions include information required by law or already publicly available through no recipient fault.

10. Data Protection and Security

We commit to processing User Content per applicable data protection laws including GDPR, CCPA, and HIPAA via our Privacy Policy and any Data Processing Addendum. As a managed platform provider, we maintain the infrastructure environment and provide encryption, tenant isolation, access control, and audit capabilities. You bear responsibility for securing your API keys and integration endpoints. Breaches are handled per our Privacy Policy Section 11.

11. Fees and Payment

Services operate under a subscription model. Contact sales@behest.ai for current pricing and enterprise agreements. Custom pricing is available for enterprise customers.

Payments are non-refundable. Late payments accrue interest at 1.5% monthly. Fees may be updated with 30 days' notice.

12. Support Services

Standard support is provided via email at info@behest.ai during business hours. Enterprise customers may negotiate SLAs in an MSA, targeting 99.9% platform uptime. Response times: Critical issues within 4 hours; standard issues within 24 hours.

13. Warranties

We warrant that: (i) Services will perform substantially as described; (ii) Services are provided professionally; and (iii) User Content remains confidential per Section 9. These warranties are exclusive; no others are implied. Sole breach remedies are termination or prepaid fee refunds.

14. Termination

You may terminate your account at any time by contacting info@behest.ai. We may suspend or terminate access for violations, with or without notice. Upon termination, the license ends and Service use must cease. User Content export is facilitated within 30 days. Sections surviving termination include IP rights, confidentiality, data protection, disclaimers, and indemnification.

15. Disclaimers and Limitation of Liability

Services are provided “as is” without warranties beyond Section 13. All implied warranties of merchantability and fitness for particular purposes are disclaimed. To the fullest permitted extent, our total liability shall not exceed fees paid in the prior 12 months. We are not liable for indirect, consequential, or punitive damages.

16. Indemnification

You agree to indemnify and hold Behest AI harmless from claims arising from User Content, Service misuse, or Term violations. We indemnify you against third-party IP infringement claims, subject to prompt notice and cooperation.

17. Export Controls and Compliance

You agree to comply with all applicable export control laws, including U.S. EAR and ITAR. Services may not be exported to embargoed countries or denied persons. We adhere to privacy regulations like GDPR via DPA; you ensure compliance with sector-specific rules.

18. Governing Law and Dispute Resolution

These Terms are governed by Delaware law. Any disputes are resolved through binding arbitration in Delaware under American Arbitration Association rules. You waive class action rights.

19. Force Majeure

Neither party is liable for delays due to events beyond reasonable control, such as natural disasters or wars, excluding payment obligations.

20. Severability

If any provision is held invalid, the remainder remains in effect.

21. Waiver

No breach waiver is effective unless in writing.

22. Entire Agreement

These Terms, plus any MSA or DPA, constitute the full agreement, superseding prior understandings.

23. Changes to These Terms

We may update these Terms to reflect Service or law changes. Material changes are posted on the website with a revised “Last Updated” date. Continued use constitutes acceptance.
